This Mutual Non-Disclosure Agreement (the “Agreement”) is entered into between Outland Consulting Group (“Outland”) and the individual or entity submitting this request (the “Recipient”), effective as of the date of submission.
Recipient has expressed interest in receiving information concerning one or more properties, operating businesses, or investment opportunities for which Outland has been engaged in an advisory capacity. Outland is willing to share certain information with Recipient solely for the purpose of evaluating a potential transaction, partnership, or acquisition (the “Purpose”).
“Confidential Information” means any non-public information disclosed by Outland or its clients to Recipient, in any form, including but not limited to: property identity, ownership details, financial statements and projections, operating data, valuation analyses, transaction terms, the existence of any discussions, marketing memoranda, photographs, maps, surveys, and any derivative or analysis prepared by Recipient from such information.
Recipient agrees to: (a) hold all Confidential Information in strict confidence; (b) use Confidential Information solely for the Purpose and for no other use whatsoever; (c) limit access to Confidential Information to Recipient’s own employees, advisors, attorneys, accountants, and lenders who have a legitimate need to know in connection with the Purpose, and who are bound by confidentiality obligations no less restrictive than those set forth herein; and (d) protect Confidential Information using the same degree of care Recipient uses to protect its own most sensitive proprietary information, but in no event less than reasonable care.
Recipient shall not, directly or indirectly, contact, solicit, or engage with any owner, principal, operator, employee, broker, lender, or counterparty identified through Confidential Information for the purpose of pursuing the Purpose or any related transaction except through Outland. Recipient acknowledges that Outland’s relationships and the introduction of such parties are themselves part of the Confidential Information protected by this Agreement.
Confidential Information does not include information that: (a) is or becomes publicly available through no breach of this Agreement by Recipient; (b) was rightfully known by Recipient prior to disclosure by Outland, as evidenced by written records; (c) is rightfully received by Recipient from a third party without confidentiality obligations; or (d) is independently developed by Recipient without reference to or use of Confidential Information.
Outland makes no representation or warranty as to the accuracy or completeness of any Confidential Information. Recipient acknowledges that all information is provided on an “as is” basis, and that Recipient will conduct independent diligence prior to entering into any transaction.
Nothing in this Agreement obligates either party to enter into any transaction, partnership, or further agreement. Either party may decline to proceed at any time, for any reason or no reason.
Upon written request by Outland, Recipient shall promptly return or destroy all Confidential Information in its possession, including all copies, summaries, and derivatives, and shall certify such return or destruction in writing if requested.
The obligations of confidentiality and non-circumvention set forth in this Agreement shall remain in effect for a period of three (3) years from the date of acceptance, regardless of whether any transaction is consummated.
Recipient acknowledges that any breach of this Agreement would cause irreparable harm to Outland and its clients for which monetary damages would be inadequate. Outland shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
This Agreement shall be governed by the laws of the State of Montana, without regard to its conflict-of-laws principles. Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Gallatin County, Montana, and the parties consent to the personal jurisdiction of such courts.
This Agreement constitutes the entire understanding between the parties regarding its subject matter and supersedes all prior agreements, written or oral. This Agreement may be modified only by a written instrument signed by both parties.
By clicking “I Accept” below, Recipient acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement. If Recipient is accepting on behalf of an entity, Recipient represents that they have the authority to bind such entity.
